These Terms of Use ("Terms") are intended to stipulate the terms and conditions for the provision of the Service and the rights and obligations between A.D.SYSTEMS PTE. LTD. ("Company") and the User regarding the use of the Service, and shall apply to all relationships between Users and the Company regarding the use of the Service.
If the Company posts any rules and other regulations regarding the use of the Service ("Rules") on the Company's Website, such Rules shall constitute a part of these Terms.
If the contents of these Terms are inconsistent with the Rules as stipulated in the preceding paragraph or any other explanations of the Service other than in these Terms, the provisions of these Terms shall prevail.
Article 2 (Definitions)
The following terms used in these Terms shall have the meanings set forth below.
"Company's Website" means the website operated by the Company (if the domain, name, or content is changed for any reason, the website after such change will be included in the Company's website).
"Services" means all services provided on the Company's Website (if the name, content, or any other aspect of the Services is changed for any reason, the website after such change will be included in the Services), including the wallet service for cryptographic assets.
"User(s)" means any person who is registered as a user of the Service in accordance with Article 3 (Registration).
"Service Agreement" means the agreement for the use of the Service executed between the Company and a User in accordance with these Terms, and consists of these Terms and Rules constituting a part of these Terms.
"Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
"Posted Data" means any content (including, but not limited to, text, images, video, and other data, regardless of its form) that a User posts or otherwise transmits using the Service.
"Coins" refers to the tokens used by Users on the Service.
Article 3 (Registration)
A person who wishes to use the Service may apply to the Company for registration to use the Service by agreeing to abide by these Terms, providing certain information as specified by the Company ("Registration Information") in a manner specified by the Company, and agreeing to these Terms and the Company's Privacy Policy.
The person who has applied for registration in accordance with the preceding paragraph ("Applicant") shall represent and warrant to the Company that the Registration Information is true and accurate.
The Company shall determine whether or not to register the Applicant for registration in accordance with the Company's criteria. If the Company approves the registration, the Company shall notify the Applicant of such approval. The registration of the Applicant as a User will be completed when the Company notifies the Applicant as described in this paragraph.
If and when a User completes the registration stipulated in the preceding paragraph, the Service Use Agreement will be executed between the User and the Company, and the User will be entitled to use the Services in accordance with the Service Use Agreement.
If the Company determines that an Applicant or User falls under any of the items below, the Company may, at its sole discretion, refuse registration or re-registration of such Applicant or User for use of the Services. The Company will not be obligated to disclose any reason for such refusal.
If there is any falsehood, misdescription, inaccuracy, or omission in all or part of the Registration Information provided to the Company.
If the Applicant or User is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of his/her legal representative, guardian, curator, or assistant.
If the Applicant or User is Anti-Social Forces (as defined in Article 13, paragraph 1, item 1), or has any type of interaction or involvement with Anti-Social Forces, including cooperating or being involved in the maintenance, operation, or management of Anti-Social Forces through the provision of funds or otherwise.
If the Applicant or User has violated any contract with the Company before (including cases where his/her representations and warranties to the Company are untrue or inaccurate) or has involved in such violation.
If the Applicant or User has been subject to the measures specified in Article 12.
If the Company otherwise determines that registration is inappropriate.
Users shall notify the Company of any changes to the Registration Information without delay.
The Company reserves the right to request any User to correct the Registration Information or Posted Data in the event that such Registration Information or Posted Data is found to be contrary to the standards separately established by the Company, contrary to the facts, or in any other cases where the Company deems it necessary to correct such Registration Information or Posted Data. If requested by the Company, the User shall immediately correct such Posted Data.
Article 4 (Management of Passwords and User IDs)
Users shall, at their own responsibility, properly manage and store their passwords and user IDs for the Services, and shall not allow any third party to use such passwords or user IDs, or lend, transfer, change the account name of, or sell such passwords or user IDs to any third party.
The User will be liable for any damage, loss, cost, or expense ("Damage") caused by theft, leakage, insufficient management, mishandling, or use by any third party of his/her password or user ID for the Services and the Company will not be liable for such Damage. In addition, if the Company suffers Damage caused unlawful or inappropriate use of the password or user ID with the User's willful or negligent acts or omissions, the User shall compensate the Company for such Damage.
If the password or user ID for the Services is found to have been stolen or used by any third party, the User shall immediately notify the Company to that effect and follow the Company's instructions.
Article 5 (Use of Coins)
If a User sends Coins to another User, the number of Coins will increase according to the criteria set by our company. Also, Coins will disappear after a certain period of time according to the standards set by the Company.
Users must not send Coins to other any other Users for the sole purpose of increasing the number of Coins by using the nature of Coins as specified in the previous section.
Article 6 (Matters to be reported)
The Company may request any User to submit reports and documents ("Status Report(s)") regarding the status of use of the Services and any other information regarding Users and Posted Data that the Company deems necessary for the proper operation of the Services based on these Terms. If the Company requests a Status Report, the User shall immediately submit a Status Report to the Company.
Article 7 (Prohibition)
In using the Services, the User shall not engage in any act that the Company deems to fall under any of the following items:
Infringement of the Intellectual Property Rights, portrait rights, privacy rights, honor, or other rights or interests of the Company, other Users, or any third parties (including acts that directly or indirectly cause such infringement)
Acts related to criminal acts or acts that go against public policy and morals
Acts that violate law and regulation or the internal rules of the Company or the industry organization to which the User belongs.
Acts that interfere, or may interfere, with the use of any other Users.
Transmitting information that contains harmful computer programs, including computer viruses.
Acts that interfere with the facilities of the Company, including unauthorized access to, or cracking, the hardware or software that constitutes the Services.
Falsification of information that can be used in relation to the Services.
Acts of reverse engineering, decompiling, or disassembling the Services.
Acts that may interfere with the operation of the Services by the Company.
Using, or attempting to obtain, passwords or User IDs of any other persons.
Providing benefits to anti-social forces.
Any other acts that the Company deems inappropriate.
Article 8 (Compensation)
If a User intentionally or negligently breaches the Service Agreement consisting of rules including these Terms causes Damage to any other User or third party, such breaching User shall compensate such latter other User or third party for Damage. In addition, if the Company suffers Damage due such breach, the breaching User shall compensate the Company for such Damage. Even if a penalty is separately stipulated, the Company may demand compensation from the User for the amount of the actual damages incurred by the Company; provided, that such damages exceed the amount of the penalty.
Article 9 (Suspension of the Services)
The Company may suspend or discontinue the provision of all or part of the Services without any prior notice to the User in the cases of any of the following items:
If the Company inspects, maintains, repairs, or changes the server, network, or other computer systems related to the Services.
If the computer or communication line is suspended or interrupted due to an accident.
If the operation of the Services becomes impossible due to force majeure such as earthquake, lightning, fire, epidemic, windstorm, flood, or natural disaster.
If the Company receives any guidance, recommendations, or orders from the judiciary body or administrative authorities based on law and regulation.
Besides the foregoing, if the Company deems it necessary to suspend or discontinue the Services.
The User shall not be exempted from its liabilities and obligations related to the Services to the Company in relation to the Company, other Users, or any other third parties even after the measures based on the preceding paragraph are taken.
The Company shall not be liable for any Damage incurred by the User as a result of measures taken by the Company in accordance with this Article.
Article 10 (Development and Maintenance of the Usage Environment)
Users shall, at their own expense and responsibility, set up computers, software and other equipment under the conditions specified by the Company, and maintain the environment for using the Services.
Users shall connect to the Internet using the telecommunications services of telecommunications carriers at their own responsibility and expense when using the Services.
The Company will not be obligated to provide the Services to the User if the User's equipment, the Internet connection specified in the preceding paragraph, or the environment for using the Services is defective.
Article 11 (Attribution of Rights)
All Intellectual Property Rights related to the Company's Website and the Services belong to the Company or to parties that have granted licenses to the Company. Granting of the license to use the Services under these Terms does not imply granting the license to exploit such Intellectual Property Rights to the User.
The User shall represent and warrant to the Company that such User has the right to post or otherwise transmit Posted Data, that such Posted Data is true and accurate, and that such Posted Data does not infringe on the rights or interests of any third party.
The User grants the Company the worldwide, non-exclusive, sub-licensable and transferable license to exploit (including use, reproduce, distribute, create derivative works from, display, and perform) Posted Data free of charge.
The User agrees not to exercise such User’s moral rights against the Company or any person who has succeeded or been granted rights by the Company.
If any third party makes any claim, including that of intellectual properties, against the User in connection with using the Services, the User shall immediately notify the Company in writing of such claim.
Article 12 (Deletion of Registration)
If any User falls under any of the cases below, the Company may delete the User’s Posted Data, suspend the use of the Services for the User, or terminate the Service Agreement with the User without any prior notice or demand. The Company will not be obligated to disclose any reason for such termination.
If the User breaches any provision of these Terms (including the cases where the representations and warranties are untrue or inaccurate).
If it is found that there are false or inaccurate facts in the Registration Information.
If the User suspends any payment or becomes insolvent, or if a petition for commencement of bankruptcy proceedings, commencement of civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation proceedings, or any proceedings equivalent to these is filed.
IF there is no response from the User to inquiries or other communications from the Company for two (2) weeks or longer.
If the User breaches Article 7.
If the User falls under any of the items in Article 3, paragraph 5.
If there is a complaint against the User from any other user or third party.
If the Company deems it inappropriate to continue the Service Agreement.
In the event of any grounds listed in the preceding paragraph, all of the User’s liabilities for the use of the Services become accelerated and payable, and the User shall immediately implement all the liabilities to the Company.
The User will not be exempted from any of the liabilities and obligations in connection with the Services to the Company, any other User, or third parties even after the measures under paragraph 1 are taken.
The Company will not be liable for any Damage incurred by the User due to the Company's acts under this Article.
Article 13 (Elimination of Anti-Social Forces)
The User represents and warrants that neither such User, its officers or employees currently do or will fall under any of the following categories presently and in the future.
a gang, a gang member, an individual that ceased to be a gang member within the last five (5) years, a quasi-member of a gang, a gang affiliate or group, sokaiya, a blackmailer camouflaged as a social movement activist, a special violent group, or any other persons equivalent to these (collectively, "Anti-Social Forces").
Having any relationships in which Anti-Social Forces control its management.
Having any relationships in which Anti-Social Forces is substantially involved in its management.
Using Anti-Social Forces unjustly, including for the purpose of acquiring unlawful gains for itself or any third party, or for the purpose of inflicting damage on any third party.
Providing any funds or benefits to Anti-Social Forces.
Officers of the User or persons who are substantially involved in the User’s management have socially reprehensible relationships with Anti-Social Forces.
Users shall not commit any of the following acts by themselves or by using any third party.
Violent demands
Unlawful and unjust demands beyond legal liabilities
Threatening behavior or use of violence in connection with transactions.
Damaging the reputation of the other Party or obstructing the service of the other Party by spreading rumors or by using fraudulent means or force.
Any other acts equivalent to any of the foregoing
Article 14 (Amendment and Termination)
The Company may amend the contents of the Services or terminate the provision of the Services at its sole discretion. If the Company terminates the provision of the Services, the Company shall notify the User to that effect in advance. The Company does not guarantee that all functions and performance of the Service prior to such amendment or additions will be maintained by such amendment or additions.
The Company will not be liable for any Damage incurred by the User as a result of measures taken by the Company in accordance with this Article.
Article 15 (Non-Warranty and Disclaimer)
The Company does not make any of the following warranties: that the Service will have suitability for the User's particular purpose, expected functions, commercial value, accuracy, or usefulness, that the User's use of the Service will comply with the laws and regulations applicable to the User, that there will be no defects in the use of the Services, or that the information provided in the Services is true or accurate.
This company will not be liable for any Damage incurred by any Users in relation to the Services for any reason (including, but not limited to, system or server downtime, cyber-attacks, interruption, suspension, termination, unavailability, or modification of the Company’s provision of the Services, deletion or loss of Posted Data, deletion or loss of User registration, deletion or loss of User information, loss of Coins, loss of data due to use of the Services, or equipment failure or damage), regardless of default, tort, or any other cause of claim.
The Company assumes no responsibility for any transactions, contracts, communication, negotiations, consultation, or disputes that may arise between a User and other Users or third parties in connection with the Services.
If the Company is held liable for damages to a User due to breach of these Terms, the Company shall compensate the User only for the direct and actual damages incurred; provided, however that the amount of such compensation will be limited to the total amount of fees for the Services paid by the User to the Company during the two (2) months immediately preceding the month in which such damages occur.
Article 16 (Confidentiality)
The User shall not disclose or divulge to any third party any confidential information disclosed by the Company in connection with the use of the Services and shall not use such information for any purpose other than the use of the Services. Confidential information refers to the Company's technical, business, or managerial information disclosed in connection with the introduction of the Services, regardless of whether such information is in writing, electromagnetic data, orally, or in any other form, of whether confidentiality is indicated or specified, and of whether the scope of confidentiality is specified.
The following information are not considered confidential information.
Information that is already in the User’s possession without any obligation of confidentiality at the time of disclosure.
Information that is already publicly known at the time of disclosure, or information that subsequently becomes publicly known due to reasons not attributable to the User.
Information legally obtained from any third party after the disclosure.
Information developed or created independently of the disclosed information.
Information requested to be disclosed in accordance with laws and regulations or court orders.
If the Service Agreement is terminated due to any ground including termination of the Services, the User shall promptly return or dispose of the confidential information. When disposing of the confidential information, the User shall use a method that does not allow the confidential information to be reused.
The provisions of this Article will remain in effect even after the termination of the Service Agreement.
Article 17 (Handling of User Information)
The Company shall handle Users’ information in accordance with the Privacy Policy separately established by the Company, and the Users are deemed to have agreed to the Company's handling of such information in accordance with the Privacy Policy.
The Company may, at its sole discretion, use and disclose any information, including data, provided by the User as statistical information in a form in which the individual User cannot be identified, and the User shall not object to such use or disclosure.
Article 18 (Amendment)
The Company may, at its sole discretion, amend these Terms. IF the Company amends these Terms, the Company shall notify the User of such amendment and its details by way of individual notification or by posting on the Company's Website. Any amendment to these Terms will become effective at the time such amendment is posted on the Company's Website.
After being notified of such amendment, if a User uses the Services or the User does not take procedures for deleting registration within the period of time specified by the Company, the User shall be deemed to have agreed to such amendment.

Article 19 (Communication and Notification)
Inquiries and any other forms of communication or notification from the User to the Company regarding the Services, as well as communication or notification from the Company to the User including that regarding changes to these Terms will be made in a manner determined by the Company. Such notification will become effective if and when it is sent by the Company.
Article 20 (Transfer of Status)
Users shall not assign, transfer, mortgage, encumber as collateral, or otherwise dispose of their status under the Service Agreement or rights or obligations under these Terms to any third party without the prior written consent of the Company.
If the Company transfers its business related to the Services to any other company, the Company may transfer its status under the Service Agreement, rights and obligations under these Terms, and the User's Registration Information and any other information to the transferee, and the User agrees to such transfer in this paragraph in advance. The User shall be deemed to have consented to such transfer in advance. The transfer of business set forth in this paragraph includes business transfer, company split, and any other acts to transfer the business.
Article 21 (Severability)
Even if any provision or part of these Terms is judged to be invalid or unenforceable, such judgment will not affect any other part of these Terms, and the remainder of these Terms will remain valid and enforceable. The Company and Users agree to use the best endeavors for securing legal effects equivalent to those of such invalid or unenforceable provision or part and to be bound by these Terms accordingly modified based on the intent of such provision or part.
Even if any provision of these Terms, or any part of such provision, is judged to be invalid or unenforceable in relation to one User, such judgment will not affect its legal effect including validity in relation to other Users.
Article 22 (Interpretation of these Terms)
If any doubt arises as to the interpretation of these Terms, the Company will be entitled to determine such interpretation to a reasonable extent.
Article 23 (Governing Law and Jurisdiction)
These Terms and the Service Agreement are governed by and construed in accordance with the law of Japan.
The Tokyo District Court will be the exclusive court of first instance for any and all disputes arising out of or related to these Terms or the Service Agreement.
Article 24 (Others)
Users agree that the Company conducts surveys of the Users' usage of the Services for the purpose of improving the Services, and that the Company analyzes and collects such information to the extent that personal information cannot be identified.
